1. General information

  1. The entrepreneur who operates the online shop under the internet domain, hereinafter referred to as the “online shop”, is VacuSystem Sp. z o.o. based in Wołomin, registered in the National Court Register in Warsaw by the District Court of the capital Warsaw, XIV. Commercial Department under the number KRS 0000512376, VAT-ID PL1251629463, REGON 360184219.
  2. These general terms and conditions define the rights and obligations of customers and the rights and obligations of the seller as a company that manages and operates the online shop.
  3. The online shop only sells electronically to business entities (B2B) according to the orders received through the electronic system. These regulations are therefore aimed at entrepreneurs and define the rules and procedures for entering into a sales contract with the entrepreneur via the online shop.
  4. To the extent permitted by law, the seller is not liable for disruptions, including business disruptions, caused by force majeure, illegal actions by third parties or the incompatibility of the online shop with the customer’s technical infrastructure.
  5. There is no need to create an account to view the range of products in the online store.
    Orders by the customer for products in the store’s range are possible after an account has been created in accordance with the provisions of the Regulations.

2. Terms

  1. Customer – any entrepreneur who makes purchases through the online shop.
  2. Seller – VacuSystem Sp. O.o. based in Wołomin, registered in the National Court Register in Warsaw by the District Court of the capital city of Warsaw, XIV. Commercial Department under the number KRS 0000512376, tax identification number PL1251629463, VAT ID number (REGON) 360184219.
  3. Entrepreneur – a natural or legal person or an organizational unit that is not a legal person, whose separate law grants legal capacity and carries out an economic activity in its own name that uses the online shop.
  4. Online shop – the seller’s online shop at the Internet address
  5. Distance contract – contract concluded with the customer as part of an organized system for the conclusion of distance contracts (as part of the online shop) without the simultaneous physical presence of the parties using only one or more means of distance communication up to and including the conclusion of the sales contract.
  6. General Terms and Conditions – these present terms and conditions.
  7. Order – The customer’s declaration of intent, submitted through the order form, aimed directly at concluding the product sales contract or products with the seller.
  8. Product – a movable object / service that is available in the online shop and is the subject of the sales contract between the customer and the seller.
  9. Purchase Agreement – A product sales contract concluded between the customer and the seller through the online shop. The sales contract also means – according to the characteristics of the product – a contract for the provision of services and a contract for certain works.

3. Create an account in the online shop

  1. To create an account in the store, you need to fill out the registration form.
    The following data must be provided:
    – name and address of the customer’s registered office
    – VAT identification number of the customer
    – first and last name of the person authorized to represent the customer
    – Delivery address, if different from the address of the customer’s registered office
  2. Creating an account in the online shop is free.
  3. You log into your account by entering the login and password specified in the registration form.
  4. The customer can delete the account at any time without stating reasons and without fees by sending a corresponding request to the seller, in particular by e-mail or in writing to the seller’s specified addresses.

4. Orders

  1. The conclusion of the sales contract between the customer and the seller takes place after the customer has placed an order using the order form in the online shop.
  2. By placing an order in the online shop, the customer accepts all provisions of these general terms and conditions without reservation.
  3. After placing the order, the customer receives an electronic letter with the content of the order, which is automatically sent from the online shop, and a proforma invoice to make the payment for the ordered goods.
  4. After the payment is credited to the online store’s bank account, the online-shop informs the customer that the order has been accepted for processing.
  5. The VAT invoice will be delivered to the customer along with the goods purchased in the store according to the data contained in the order.
  6. In the event of a delay or inability to deliver the package due to the fault of the customer, or in the event of refusal to collect the package, the customer will be charged additional costs (storage costs by courier, handling costs according to the transport price list)
  7. Placing the order by the customer is not the same as concluding a contract.
  8. The online shop can cancel and not execute the order without giving a reason.

5. Place of fulfillment and time of the completed contracts

  1. The order by the customer and the subsequent confirmation of his acceptance for implementation by the online shop signifies the conclusion of a sales contract between the parties.
  2. The place of fulfillment of the conclusion of the contract is always the seat of the seller – Wołomin / Poland
  3. The time at which the sales contract is concluded is the date on which the online shop confirms acceptance of the order for execution.

6. Prices

  1. The prices given in the online shop are net prices and are given in the following currencies:
    – in the Polish language version of the online store – Polish Zloty (PLN)
    – in foreign language versions of the online shop – Euro (EUR)
  2. The final (final) amount to be paid by the customer is made up of the price of the product and the shipping costs (including transport, delivery and postal charges), which the customer will be informed about when placing the order on the online store website, even if the will is expressed to be bound by the sales contract.
  3. When ordering, shipping costs and 23% VAT are added to the prices.
  4. The price list of the online shop does not constitute an offer within the meaning of the Civil Code.

7. Shipping methods

  1. The online shop only carries out all deliveries via UPS courier.
  2. In Poland, the courier delivers parcels within 2 working days of the dispatch date on working days from Monday to Friday during normal working hours from 8 a.m. to 5 p.m.
  3. Orders outside the territory of the Republic of Poland are subject to country-specific delivery times, with additional consideration of point 8 of these general terms and conditions.
  4. Upon receipt of the shipment, the buyer has the right, after signing the waybill, to check the condition and contents of the package in the presence of the courier.
  5. Particular attention should be paid to damage to packaging, securing tapes, etc.
  6. In the event of damage to the shipment, a damage report should be made in the presence of the carrier. It must describe damage to the packaging and contents. You should also notify the store immediately.
  7. The online shop does not carry out any deliveries in any other way and does not offer the possibility of the customer picking up the goods from the seller.

8. Deliveries outside Poland

  1. The online store sells products on the territory of the Republic of Poland.
  2. The products offered in the online shop meet all the requirements of Polish regulations and standards related to technical, health and ecological requirements. The range does not infringe any copyrights, patents or trademarks in Poland. However, due to the globalization of the internet, we cannot rule out sales outside the country. Such orders can be carried out at the request of customers from all over the world.
  3. Customers from outside the territory of the Republic of Poland who order products in our online shop and at the same time introduce them to the local market are obliged to check the compliance of the goods ordered in the VacuSystem online shop with the local legal requirements.
  4. The responsibility of the company VacuSystem for the violation of standards or regulations by the products purchased in the online shop is excluded.
  5. The entire responsibility for such violations lies entirely with the company that introduces the product on the local foreign market.

9. Deadline for order fulfillment

  1. The expected date of order fulfillment is indicated each time next to the individual products presented in the online shop.
  2. The completion date is counted from the conclusion of the purchase contract until the delivery of the ordered goods by the courier.
  3. When ordering products with different delivery times, the delivery date is the longest specified date.
  4. This deadline may be due to reasons beyond the control of the business, e.g. B. due to depletion of the warehouse, delay in deliveries from the sub-suppliers of the online shop, failure to pick up parcels by the carrier or other force majeure.
  5. The extension of the completion date may not be the basis for customer claims for damages.

10. Delivery terms

  1. All deliveries are made according to the EXW Wołomin (ex works / Wołomin).
  2. When placing an order, the customer orders UPS courier to deliver the goods purchased in the store to the address provided by him.
  3. The shipping costs are automatically calculated in the online shop by the official UPS shipping tool.
  4. The shipping costs are communicated to the customer when ordering.

11. Payment Methods

  1. The customer can use the following payment methods:
    – Bank transfer (acceptance of the order for execution after payment has been credited)
    – Przelewy24 (immediate order acceptance for execution)
    – PayPal (immediate order acceptance for execution)
  2. The store doesn’t offer any other payment methods.

12. Guarantee, warranty of defects, claims

  1. For the products bought in the online shop, the buyer receives an online shop guarantee or a manufacturer guarantee.
  2. The warranty period depends on the type of goods purchased.
  3. The guarantee does not apply to consumables such as gaskets, graphite slides, seals, etc.
  4. Online shop based on article no. 558 §1 of the polish Civil Code completely excludes liability towards customers due to physical and legal defects (warranty of defects).
  5. Complaints are to be sent in writing or electronically to the seller’s addresses given in these general terms and conditions.
  6. In order to expedite the complaint process, the complaint letter should contain, among other things: a brief description of the defect, the circumstances (including the date) of its occurrence, details of the customer making the complaint and the customer’s request related to the defect Would
  7. In case of doubt, the online shop has the right to request the submission of the product in question.
  8. In this case, the customer bears the costs for the delivery of the product in question to the online shop.

13. Withdrawal from the contract / return of the goods

  1. As entrepreneurs, the customers of the online shop are not entitled to withdraw from the contract or to return the purchased products.
  2. The online shop also does not accept returns of used products.
  3. A return of the goods is only possible under the guarantee conditions or with the consent of the online shop.
  4. The returned goods must be complete, with original equipment and packaging.
  5. Buyer pays for shipping.

14. Description of Goods, Photos, Prices, Errors

  1. The online shop can refuse to sell the products if the description of the products, information about the availability of the products, the price or the VAT rates contain errors.
  2. Product photos are not part of the technical description and cannot be used as a basis for a complaint about non-compliance with technical parameters.
  3. We endeavor to ensure that the technical descriptions shown correspond to the actual ones. For example, changes in the parameters made by the manufacturer can lead to discrepancies for which the online shop is not responsible.
  4. You should check the technical parameters on the manufacturer’s website or contact the store for information or clarify any doubts.

15. Liability

  1. Our liability for the delivery of products and / or services is limited to the replacement of losses and the coverage of necessary expenses due to defects in the delivered products or services that were caused intentionally or negligently, up to an amount that is the net price of the delivered goods Products or services specified in the improperly executed contract.
  2. We assume no responsibility for damage that occurs through no fault of our own, through inappropriate installation or commissioning that is incompatible with the intended use, excessive loads, natural wear and tear, damage caused by chemical and electrochemical effects or power supply.
  3. Compensation for damage that did not occur in the delivered product is excluded.

16. Jurisdiction of the courts

  1. The law of the Republic of Poland applies exclusively
  2. The competent court in Wołomin or Warsaw is responsible for regulating the agreements from the contracts between the online shop owner and the customer, depending on the material jurisdiction.
  3. The provisions of the European Sales Law do not apply.

17. Severability clause

  1. A possible invalidity of individual provisions of these general terms and conditions does not invalidate the remaining provisions and agreements.
  2. Invalid provisions are replaced by valid provisions that best correspond to the economic purpose of the invalid provisions.
